Luxembourg Directorship Searches

The Luxembourg Corporate Registry provides a lot of information on companies registered in Luxembourg, including, but not limited to, date of incorporation, company status, directors and shareholders, as well as financial information. For directors, we can also find date and place of birth, the role, dates of appointment and resignation, and correspondence addresses. Sometimes there is even more information revealed in articles of association or meeting minutes, such as marital status etc.
The gap in the official registry
However, what the official registry database is lacking is a search by name of a director or officer of a company, in other words "reverse" directorship searches. Why would this be important? For a number of reasons, including: know your customer due diligence, compliance with anti-money laundering and anti-terrorist financing regulations, identifying potential conflicts of interest, investigating former or current employees suspected of embezzlement etc. For certain employers it is also vital to know of any current or former company insolvencies linked to a future employee.
The official Luxembourg registry can be searched by company, but not by the name of a director or officer. A reverse directorship search fills that gap, establishing the current and former corporate appointments held by a particular individual.
What a reverse directorship search reveals
A reverse directorship search enables investigators to establish the current and former known corporate appointments held by a particular individual. This provides a more complete picture of a person's commercial activities than examining just the companies that were disclosed and can reveal business relationships that might otherwise remain undiscovered.
Such searches are particularly valuable where an individual has been associated with multiple companies over an extended period. They can assist in identifying recurring business partners, networks of associated entities, serial incorporations and dissolutions, and patterns of corporate activity that may warrant further examination during due diligence or investigations.
Given the limitation of the official database and the clear need to carry out Luxembourg directorship searches, what can be done? Maddocks Insight has proprietary technology allowing such "reverse" searches to be carried out in Luxembourg. Our searches can identify current and former company appointments linked to an individual, helping clients conduct more effective due diligence, compliance reviews and corporate investigations. Why Luxembourg matters in investigations
Luxembourg often plays an important role in our investigations, not only as a place of business in its own right, but also since it is often used as a place to incorporate holding companies and other tax-efficient vehicles. Many investment funds, PE firms and securitisation vehicles are also linked to Luxembourg. Many Luxembourg companies form part of larger multinational corporate groups. A reverse directorship search may therefore reveal connections between Luxembourg entities and wider international corporate structures that are not immediately apparent when reviewing individual company records.
As such, identifying corporate affiliations in Luxembourg is sometimes important, even where preliminary research only identified business links in other countries. As cross-border corporate structures become more and more common, obtaining a more holistic picture of an individual's corporate involvements is more important than ever. Reverse directorship searches provide an efficient means of uncovering relevant corporate connections. This enables companies to make better decisions and manage any potential risk more effectively.
